1) This procedure is subject to the provisions of the Italian Legislative Decree no. 163 dated April 12 2006, named “Codice dei contratti pubblici relativi a lavori, servizi e forniture in attuazione delle direttive 2004/17/CE e 2004/18/CE” (Code of public contracts concerning works, services and supplies in accordance with the EC directives 2004/17 and 2004/18) and subsequent amendments and supplements, as far as applicable to public contracts of works, services and supplies for utilities. The above mentioned legislative decree, in force since July 1 2007, can be consulted – in Italian language – on the website of the Italian Parliament at the address http://www.parlamento.it/parlam/leggi/deleghe/dlattcee.htm. 2) The requests to participate in the tender (no. 1 original and no. 2 copies) shall be submitted exclusively by making use of the appropriate forms drawn up by Enel and made available to the companies, which deem to be able to meet the minimum professional, economic and technical requirements for participating in the tender, on the internet address http://www.acquisti.enel.it/en-GB/fornitori/03_bandi_avvisi/02_bandi_gara/ (in the search mask, please, select English language and then: ”Company”: Enel Servizi – “Macro-category”: Supply – “Date of publication”: date of publication of this contract notice). The references of this contract notice and the details of the concerned job, as per point II.1.1) above, shall be indicated on the outer side of the envelope containing the request to participate. 3) In order to be invited to bid, the candidates meeting the minimum requirements established in this contract notice shall also register themselves in the Suppliers Register (“Anagrafica Fornitori”) on ENEL Purchasing Portal (internet address: www.acquisti.enel.it), section “Become a Supplier”, for the merchandise group FMPC01 “Compressors and electro-compressors” (if not already registered for the aforesaid merchandise group). In case of temporary groupings of companies, the registration shall be made by all the economic operators taking part in the grouping Nevertheless, Enel reserves the right to invite to bid suppliers which are not already registered, in the event the missed or late registration is due to causes, to be properly documented, not attributable to the supplier itself. If so, the supplier will have to complete the registration process within the deadline for the submission of technical bid. 4) Enel, at its sole and unquestionable discretion, reserves the right to: — Cancel the tender at any time (for example, if the received bids does not comply with the expected minimum technical-economic requirements), — Carry out the tender, or part of it, by means of information technology tools (e-commerce). 5) Minimum period for which the tenderer is required to keep valid the offer: 6 (six) months from the deadline stated for the submission of technical bids. 6) The selected contractor may use, with no restriction, local entrepreneurs, where technical and economic conditions so permit, in order to maximise the involvement of local resources. 7) According to the provisions of art. 13 of the Italian Legislative Decree no. 196/2003, named “Code on the matter of protection of personal data” (“Codice in materia di protezione dei dati personali”), please be informed that the data supplied by bidders during the tender process are collected and processed by Enel SPA, and by the Companies subject to direction and coordination of Enel SPA, both in automatic way and on paper, for the purposes concerning the tender and contract (if any) stipulation and management, as well as to give execution to all legal requirements. In this regard, it is specified that: — the collection of all the data, requested from time to time, is an essential prerequisite to the establishment and carrying out of the above mentioned relationships, — The personal data collected, as well as the personal data processed, will be subject to communication solely to Enel SPA and to the Companies subject to direction and coordination of Enel SPA and shall not be disclosed to third parties, except for the cases provided for by law, — The persons or legal entities, to whom or to which the collected personal data refers, are allowed to exercise the rights provided for at article 7 of the Italian Legislative Decree no. 196/ 2003, with reference to the existence and processing of their personal data. 1) This procedure is subject to the provisions of the Italian Legislative Decree no. 163 dated April 12 2006, named “Codice dei contratti pubblici relativi a lavori, servizi e forniture in attuazione delle direttive 2004/17/CE e 2004/18/CE” (Code of public contracts concerning works, services and supplies in accordance with the EC directives 2004/17 and 2004/18) and subsequent amendments and supplements, as far as applicable to public contracts of works, services and supplies for utilities. The above mentioned legislative decree, in force since July 1 2007, can be consulted – in Italian language – on the website of the Italian Parliament at the address http://www.parlamento.it/parlam/leggi/deleghe/dlattcee.htm.

Abilitazione all'esercizio dell'attività professionale:

a) Declaration attesting that no reasons for exclusion exist, as per article 38, paragraph 1, of the Italian Legislative Decree no. 163/06 and subsequent modifications and integrations

b) Declaration attesting that no forms of control exist with other companies that intend to participate independently in the tender, as per article 2359 of the Italian Civil Code.

c) Declaration attesting that there is no coincidence, even partial, with other companies that intend to participate independently in the tender, as far as the members of administration and representation bodies as well as the signatories of the bid documents are concerned.

d) Commitment, in the offer, to issue a declaration, signed by the legal representative, stating what follows, listing the items of interest:

— To be in compliance with the rules governing the right to employment of people with disabilities with particular reference to Law No. 68 of 12.3.1999 and in particular,

— To have a workforce of less than 15 units,

— To have a number of employees between 15 and 35 and…

— To not be subject to the application of a disqualification sanctions under Article. 9, paragraph 2, letters a) and c) D. Decree No 231 of 8.6.2001 and similar,

— The regularity of the obligations relating to health and job security for its own employees,

— The absence of possible conflicts of interest or potential conflicts of interest of the competitor with the Enel Group company, resulting from an examination of the composition of the company in the qualification which shows the presence of people who hold, in the company of this Group, a role of top management, and / or employees of the companies (including their relatives up to second degree), and / or beneficial rights on the shares or guarantee with the right to vote or trust companies and parent Companies,

— The availability of the competitor to adhere to specific ethical and social obligations (eg. measures to ensure respect for workers fundamental rights, the principles of equal treatment and non-discrimination, protection of child labor, etc..) And accept controls at its factories and offices, in order to verify the fulfillment of those requirements,

— A declaration of ex special part D "Offences against the person" in particular,

— Declaration of being / not being investigated over the past 5 years in legal proceedings related to the following offenses against the person: reducing or holding in slavery or servitude, child prostitution, child pornography, possession of pornographic material, tourism aimed at exploitation of child prostitution, trafficking, sale and purchase of slaves,

— Possession of technical and professional eligibility requirements pursuant to Art. 26, paragraph 1, point a) 2) of Legislative Decree No 9.4.2008 81.

e) Copy of the certification attesting the enrolment in the Register of Companies of the Chamber of Commerce, Industry, Handicraft and Agriculture or in the Register of Provincial Commissions for the Handicraft Sector, or, for foreign companies not residing in Italy, in the professional Register of the State of residence.

f) Declaration, to be submitted only in case of Temporary Groupings of Companies (TGC), as set forth in article 34, paragraph 1, lit. d) of the Italian Legislative Decree no. 163/06, attesting the composition of the TGC and indicating the agent company (group leader) and the principal companies (group partners). Such declaration shall contain the commitment to comply, during the bidding phase, with the provisions of article 37 of the Italian Legislative Decree no. 163/06.

g) Declaration, to be submitted only in case of Consortia of Bidders, as set forth in article 34, paragraph 1, lit. e) of the Italian Legislative Decree no. 163/06, attesting the composition of the consortium and indicating the consortium leader (agent company) and the associated bidders (principal companies). Such declaration shall contain the commitment to comply, during the bidding phase, with the provisions of article 37 of the Italian Legislative Decree no. 163/06.

h) Declaration, to be submitted only in case of Consortia as set forth in article 34, paragraph 1, lit. b) and c) of the Italian Legislative Decree no. 163/06, specifying the details of all the companies associated to the consortium. Should the consortium not directly carry out the supply in its entirety, it shall submit a declaration specifying the details of the associated companies appointed by the consortium itself to carry out the supply. Such declaration shall contain the commitment to comply, during the bidding phase, with the provisions of article 37 of the Italian Legislative Decree no. 163/06.

i) Declaration of commitment to provide certification attesting the regularity of INPS/INAIL contributions, i.e. DURC (“Documento Unico di Regolarità Contributiva”). For foreign companies not residing in Italy, the a.m. certification is understood to be replaced by similar documentation attesting that the company is in compliance with the obligations concerning the payments of welfare and social security contributions of its employees in accordance with the legislation of the Country of residence of the company itself; in the event the applicable legislation does not provide for the issue of said certification, this can be replaced by an affidavit signed by the Legal Representative of the Supplier and accompanied by a photocopy of an identity document of the subscriber.

j) Have suitable bank references;

k) Commitment, if awarded, to provide complete and detailed information on properties and corporate bodies of the company and any parent companies (excluding listed companies), to trace the names of individuals in possession of the individual shares.

Posizione economica e finanziaria:

a) Supplier’s declaration of having suitable bank references attesting the availability of the Banks to grant the credits.

b) Declaration attesting the gross income amount over the last 5 years, as resulting from the company balance-sheets, or extracts from the balance-sheets; the average of the gross income amounts over the last 5 years shall not be less than 3 000 000,00 EUR.

In case of temporary groupings of companies the above requirement shall be met by the grouping as a whole and, specifically: by the agent company (group leader) for a minimum of 60 % of the stated value and by each one of the principal companies (group partners) for a minimum of 20 % of the stated value.

In case of consortia of bidders the above requirement shall be met by the consortium as a whole and, specifically: by the consortium leader (agent company) for a minimum of 60 % of the stated value and by each one of the associated bidders (principal companies) for a minimum of 20 % of the stated value.

In case of permanent consortia or consortia between cooperatives of production and labour (re. article 34, paragraph 1, lit. b) and c) of the Italian Legislative Decree no. 163/06), the above requirement shall be met by the companies, as a whole, appointed by the consortium to carry out the supply, and by each one of these companies for a minimum of 20 % of the stated value.

During the bidding phase the bidder can be requested to submit appropriate further documentation giving evidence that the above mentioned technical/economic requirements are fully met.

Capacità tecnica e professionale:

a) Declaration attesting the adoption of a quality system complying with the UNI EN ISO 9001-2008 standards (in case of temporary grouping of companies or in case of consortia, the above requirement shall be met by each one of the grouped/associated companies) or equivalent.

b) Adoption and implementation of a Safety Management System that meets the international OHSAS 18001 or equivalent.

c) Technical/economic requirements: The Candidate shall demonstrate proven experience in works covering similar type of services in the last 10 (ten) years and shall be familiar with international and Italian laws, regulations and best practices concerning this matter.

The Candidate shall provide a reference list, proving to have accomplished during the last 10 years at least 5 projects similar to the one mentioned in the scope of work of this document, and the entire concerned documentation showing: type and technical characteristics of the similar supplied services, location and size (contract amount, total man hours) of the Projects, the name of Clients, etc.

The Candidate shall provide the gross incomes of latest five years. The average value of latest five years shall be more than 3 Mln€.

The Candidate shall demonstrate to have accomplished the services requested in the previous points as “in house”, not subcontracting more than 30 % of total f the executed activities.

Should some of the above activities have been performed as association of companies, the declared information/amounts shall be relevant to the portion ascribable to the single company within the association.

In case of permanent consortia or consortia between cooperatives of production and labour (re. article 34, paragraph 1, lit. b) and c) of the Italian Legislative.

Decree no. 163/06), the above requirement shall be met by the companies, as a whole, appointed by the consortium to carry out the supply, and by each one of these companies (with reference to the portion of the activities that each company is going to perform) for a minimum of 20 % of the stated value.

During the bidding phase the bidder can be requested to submit appropriate further documentation giving evidence that the above mentioned technical/economic requirements are fully met.

Esecuzione dell'appalto
Depositi e garanzie richiesti:

In the event of a delay in completion of the service within the term fixed, a daily penalty shall be applied against the Contractor to the extent of 0,5 % estimated amount of the contract up to a maximum of 10 % (ten percent).

Upon reaching this amount, Enel shall have the right to avail itself of the termination clause of the contract, pursuant to art. 1456 of the CC, without Your having the right to claim for any damages whatsoever.

The detailed program for the jobs in this contract will be issued to the award of the contract.

Principali condizioni di finanziamento e modalità di pagamento e/o riferimento alle disposizioni pertinenti che le regolano:

Payment of the related invoices shall be made by bank transfer with fixed value date for the beneficiary on the third last working day of the month in which the term falls of 90 (ninety) days from the date of receipt of those invoices if the invoices are send by Web EDI and of 150 days if the invoices are send in a paper format.

For the performance of jobs, an amount correlated to works progress, shall be recognised to the Contractor, subject to approval ot the completed services by Enel
